These Terms of Service ("Terms") govern your access to and use of the website and services provided by CLC Labs ("we," "our," or "us"). By accessing our website or using our runtime software, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.

Additional services may be offered under separate agreements. These Terms apply to general website access and evaluation use unless superseded by a separate written agreement.

2. Scope of Services

CLC Labs provides:

  • Access to our website and informational content
  • Runtime software for inference execution optimization
  • Evaluation materials and documentation

Our services and features may change as the product evolves. We do not guarantee that any particular feature or functionality will remain available indefinitely.

3. Evaluation & Pre-Release Use

Software may be provided for evaluation purposes. Evaluation software is provided "as is" and may include incomplete features, known issues, or limitations. Performance characteristics, capabilities, and behavior may differ from production versions.

We make no guarantees regarding evaluation software performance, reliability, or fitness for any particular purpose. Evaluation use is at your own risk.

4. Acceptable Use

You agree not to:

  • Use our services for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to our systems or networks
  • Interfere with or disrupt the integrity or performance of our services
  • Reverse engineer, decompile, or disassemble our software
  • Attempt to extract, copy, or derive proprietary components or algorithms
  • Use our services to compete with CLC Labs or to build competing products
  • Share access credentials or license files with unauthorized parties

5. Intellectual Property

CLC Labs retains all right, title, and interest in and to our software, website, documentation, and all related intellectual property. These Terms do not grant you any ownership rights in our intellectual property.

You retain ownership of your data, inputs, outputs, and any work product created using our services. Our software does not claim ownership of your data or outputs.

6. Confidentiality

During evaluation or pre-release access, you may receive non-public information about our products, including features, capabilities, or performance characteristics. You agree to maintain the confidentiality of such information and use it solely for evaluation purposes.

We will treat your evaluation feedback and any proprietary information you share with us as confidential, subject to our Privacy Policy.

7. Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLC LABS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that our services will be uninterrupted, error-free, or secure, or that defects will be corrected.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLC LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OUR SERVICES.

Our total liability for any claims arising from or related to these Terms or our services shall not exceed the amount you paid to us in the twelve months preceding the claim, or one hundred dollars ($100), whichever is greater.

9. Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without cause or notice, including for violation of these Terms or misuse of our services.

Upon termination, your right to use our services immediately ceases. You must cease all use of our software and delete all copies in your possession or control.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms shall be resolved in the state or federal courts located in Delaware.
